Verytag for Every Tag

A client of the firm, Greg Charillon, founder of Verytag, LLC, announced a new deal with the C.E.O. of Street Saint, Jimmy Esebag, to have Verytag labels on items in the new Street Saint collection. Verytag is a multi-faceted track and trace user interface marketing tool. High end consumer items prone to black market copies are just one application. Because each Verytag is a unique identifier, the system can be used to track and trace, verify or authenticate and physical object. Verytag also acts as a powerful marketing tool to sell additional products to existing customers.

Seeing Stars

Our firm has recently been engaged by actress Kathryn Winnick, celebrity and star of several movies, including the role of Ivana Trump on the made for TV movie of Donald Trump, to represent her interests in her new joint venture business.

Green Is In

Founders of the Green Energy Advisors I and II, are back at again. They have engaged the Firm to structure an entity that will purchase more "farmlands" in locales in Iowa which are dedicate to the growth of corn for Ethanol. The Firm will prepare all the legal documentation to raise capital for this multimillion dollar syndicate.

Nightlife in Los Angeles

A top Hollywood nightclub promoter has availed himself of the Firm's representation to raise a high six figure capital for a new entity which will cater to the high end, high net worth night-lifers in the LA scene. The Firm will be structuring a variety of things in connection with this venture.

Financing Carmen Electra's Music Album

Our Client, a monaco financier and venture capitalist, is narrowing in on closing a financing round of Carmen Electra's new album with the producer of Fergie's albums and the Black Eyed Peas. The estimated value of the transaction is several million dollars. Our Client has established a $50 Million Film Fund and is currently raising this money now. He will contributing up to 25% of this money.

Music and Clothes

Michelle Fleishley, a music manager, to Jack Black and many other notables, has referred her client, Kim Gordon, band member of SonicYouth, to help Kim trademark her clothing line and do some formation documents as well.

Green Advisors

We formed Green Advisors, LLC for Bruce Eisen and Lev Schwartz who are working on closing a second project (though a second LLC) to purchase farmlands producing Ethanol in the Midwest through a couple of million dollar round of financing. They raised several million dollars from their first round which I am told has appreciated over 30% in the last six months alone.

Joint Ventures in Entertainment

Our firm is currently closing in on finishing documentation that would tie the managing partner into a "nonexclusive joint venture" for a Film Fund to raise monies with a top talent manager who has managed such careers as Sharon Stone (17 years), Darrah Hannah, Jennifer Tilly, Rachel Hunter, Steve Guttenberg, Mike Madsen and Jeremy Piven.

Young Film Makers Get a Chance To Make Their Mark

One of our clients, located in Seattle, will begin hosting an annual film festival for filmmakers under the age of twenty-one. The directors of the video cameraorganization expect applicants to use inexpensive cameras and produce a short piece to qualify for the festival. The winner will receive funding that will contribute to the budget for expanding their film.

Dynamic Art Show Represents Border Restrictions

A nonprofit organization that our firm is currently working with feature artists and musicians from Southern California and the bordering Mexican states.The organization aims to provide a platform for border crossing, progressive art exhibitions and events. These bi-annual events encourage dynamic cultural exchanges that resonate within the fluid context of the U.S.-Mexico border.

Texas Organization Gives Girls a Chance to Attend Prom

Through our client's nonprofit organization, young ladies who cannot afford formal gowns prom dress and accessories for their prom are now able to do so. This Texas-based establishment provides junior high and high school girls with dresses, shoes, accessories, makeup and will even style their hair free of charge so they are able to attend formal dances organized through their schools.

Therapy Through the Arts

Our client is currently setting up a nonprofit organization that provides an outlet to reduce stress through creative art therapies. This therapy will be a way for individuals to de-stress and rejuvenate through the creative arts process. Supplies will be provided for the individuals, and a registered Art Therapist and licensed counselor will be on-site to give direction to their participants.

A Nonprofit Organization from the U.K. Makes its Way to the U.S.

Robin Nydes, a successful financier, who has charitable aspirations in the U.S., engaged our firm to create the U.S. arm of nonprofit organization by the name of "Foundation of the Relief of Disabled Orphans" which is currently in existence in the U.K.

PR Professionals Lend a Hand to Future Successors

Our clients, a group of public relations professionals, have set up a program to help college seniors and graduate students interested in the Public Relations field. These gentlemen set up social networking events and provide educational services to their members. Through their contacts, they are able to create a social networking program that helps benefit the students when looking for career options for the future.

Troubled Youth Travel to Japan for Mentoring

A board member of one of our nonprofit organizations is looking to set up another nonprofit to benefit troubled youth. This program, already in operation with over twenty-five members, sends the participants to Japan for 3 months. Being in another country, without familiarity of the language and customs, is a way to mentor these individuals during their time of trouble.

Former NHL Player Takes Senior Pastor Position In Nonprofit Church Organization

John Blue, former Sabres and Bruins hockey player, has developed a nonprofit organization through a California based church. As the Senior Pastor / President, Blue divides the program into separate events that focus on the worship of God. Every Sunday, a service is held to honor God through praise and worship and a special program is offered to educate children on this same theme.

Las Vegas Fundraiser Supports Local Charities

A nonprofit that we are currently working with has become one of Las Vegas' most successful fund raisers. What began as a small group of people playing a few rounds of golf golf clubs for charity, has turned into a weekend extravaganza. The evening, being held in mid October, includes a live and silent auction and entertainment from local bands. The next morning kicks off with a 5K run, a Motorcycle/Classic Car/Sports Car Poker Run and a Golf Tournament. This organization supports charities in the Las Vegas Valley and raised $60,000 for local charities in 2005.

European Co-Production to Produce The Life of Salvador Dali

One of our clients, an up and coming independent producer of motion pictures, engaged the firm to draft a memorandum of understanding in connection with a project under development about the life of Salvador Dali. This is intended to be a European co-production with a budget of 10 million euros.

High-End Development Firm Takes the Side of its Employees

One of our premiere clients, Marker Seven, a high-end web development firm, recently engaged our firm for further services. As a result of its continued growth, Marker Seven had our firm establish a stock option plan for its valued employees. Our firm was also engaged by Marker Seven to update and refine their existing Web Maintenance Service Agreement. Some of their key clients include Ghirardelli Chocolate, Wells Fargo, and Smith and Hawkins.

Success for KushTV

We successfully completed a round of financing for our client, KushTV Entertainment, an online entertainment content company. This is just the preliminary round. The next round will be a greater sum than the first.

Foundation for the Relief of Disabled Orphans (F.R.O.D.O)

A nonprofit organization that our firm is currently working with provides relief to the poor, distressed and underprivileged orphans, specifically, medical treatment to orphans in Romania. F.R.O.D.O is focused on sharing medical knowledge with Romanian medical professionals to enhance the abilities of local doctors and medical staff. In addition to treatment and education, F.R.O.D.O. is hoping to establish a National Centre for Hydrocephalus Control in Romania to treat orphans without the means to treat themselves. They will also supply used medical devices and equipment to hospitals in Romania that cannot afford them.

West Indian Cultural Awareness and Citizenship/Voter Aid

New York Carnival Band Leaders Inc. is a nonprofit organization our firm is working with to provide children and adults with a chance to participate in and learn about the West Indian Culture and history through costume-crafting workshops and cultural events during the summer months. The organization will also educate and assist people with obtaining and understanding their citizenship and voting rights and responsibilities working in conjunction with New York Law School Citizenship Day Project.

The Saint Ignatius Foundation helping Breast Cancer Survivors and Children

Our client is currently setting up a nonprofit organization that provides breast prosthetics to uninsured or underinsured women who are breast cancer survivors that have undergone mastectomy surgery. This Foundation will organize a network of prosthesis manufacturers, local oncologists, caner care navigators, and patients to help those in need with immediate care. The Saint Ignatius Foundation will also raise funds and resources to distribute to other organizations that provide relief to children in need. Such organizations include Northwest Harvest, Wonderland Developmental Center, Ronald McDonald House, St. Jude's Hospital, Children's Hospital, and the Moyer Foundation.

Larry Richards

Our Firm has been engaged by a former marketing executive Larry Richards to help structure and assist in preparing the equity documentation for the new venture he is starting in conjunction with a partner known as "Common Ground". The venture will be raising 1.2 million dollars in its first round of financing. Common Ground is a unique concept of publishing digital artworks including the promotion and touring of emerging artists in the fast growing digital artworld. A very worthwhile cause which furthers our Firms commitments to the arts.

Sam Querrey

Our firm is currently being engaged by up and coming tennis professional, 19 year old Sam Querrey, (see Sam Querrey Profile) to assist him in a venture which include establishing a fan and investor base in his tennis development. A very interesting project which furthers our Firm's commitment to the sports.

Our Firm has been engaged to provide representation to a Beverly Hills enterpreneur in a new venture aimed at child-proofing expensive and lavish homes. Representation will include entity formation and employment agreements.

Allergy Alert Systems of New York

Allergy Alert Systems of New York, Inc. is an organization that will provide relief to individuals who suffer from dangerous allergic reactions by providing free identification and medical information cards/tags to individuals that might save their life in an emergency situation. The organization will also provide a 24-hour emergency hotline and maintain files on all program participants regarding their various allergies, medical conditions and treatment. The ID cards/tags will instantly provide first responders and caregivers the medical information they need to provide a better and more informed emergency assistance.

Cancer Institute for Fertility Preservation

The Cancer Institute for Fertility Preservation, Inc. is an organization that hopes to establish a treatment and education facility focusing primarily on the fertility risks associated with an individual's cancer and cancer treatment. Through seminars and workshops, the organization will educate the public and cancer patients about the kinds of treatment, risks and recovery processes associated with the treatment and will also discuss strategies for coping with cancer and self-care. The organization will also provide full scholarships to patients who have limited insurance coverage. The scholarships will cover the costs of necessary treatment in order to preserve the patient's fertility. In addition, the organization will conduct medical research on cancer treatment and fertility preservation, results of which will be published in peer-reviewed scientific journals, such as Fertility & Sterility and Human Production.

Man's best friend needs a friend too...

The Australian Shepard and Border Collie Rescue of Northern Nevada is an organization that rescues Australian Shepards and Border Collies in the Northern Nevada region and provides the dogs with medical treatment, training, food, shelter, and foster homes. The organization rescues an average of 15 - 20 shepards/collies each month from animal shelters, streets, and previous owners. The money they raise helps to pay for the dogs medical and training expenses. They also accept donations in the form of dog beds and volunteering.

A Chance for a Bigger Role

The National Association of Latino Actors will advance the arts and Latin culture as well as represent, preserve, develop and promote the entertainment and artistic expressions of the diverse Latin populations of the United States. This organization is committed to supporting the artistic expression of Latino actors in the field of acting, television, theater, radio, music, internet and film. Furthermore, it will assist struggling Latino actors by providing them with resources, information, and counseling with regards to the Latin entertainment industry. They will also provide Latin industry contacts for actors who want to cross over to other Latin markets in Latin America. The National Association of Latino Actors objective is to recognize and support the varied standards of excellence and preserve the Latin bilingual culture and traditions for generations to come.

Will Rogers

Those representing the interests of Will Rogers have engaged our Firm to represent a charitable trust that has been formed to preserve the environment, namely, certain lands of the late Will Rogers for use as a State Park.

Developing the Dream

A successful real estate developer, with over nineteen projects under his belt in the high end areas of Hollywood and Beverly Hills, has engaged the Firm to represent him in his real estate interests. This new project involves the structuring of a limited liability company to raise capital of approximately 1 million dollars for a project that is currently under escrow.

Nip Tuck

A successful businessman, who engaged the Firm earlier this year to structure a film production entity, has engaged the Firm for further representation. This new venture involves the structuring of an LLC which will be a partnership involving a successful Beverly Hills cosmetic surgeon, and will center around the importation and distribution of a unique medical device.

Justin Chon has Got it Going On

Justin Chon, an up and coming actor starring in a new feature, has engaged in discussions with the Firm for his talent representation. His on-screen credentials include Nickelodeon's Just Jordan and Disney's Wendy Wu: Homecoming Warrior. His talent manager is Kim Matuka of OTG Talent.

Drugs Don't Come Cheap

We have been engaged to represent the purchaser of a very successful pharmacy in the Pasadena area. Our Firm will be preparing the asset purchase agreement and ancillary documentation. The value of the deal is 2.4 Million dollars.

Sex Education Through Hip-Hop Culture

We are proud to team up with the innovative and "fresh" non-profit organization No Skins No In. Led by Hip-hop marvel Warren G, No Skins No In will educate the public about safe sex and the prevention of sexually transmitted diseases through music, art and admirable music and sports leaders. The organization will gear its program toward individuals between the ages of 15 and 45 and discuss the consequences of unprotected sex, unwanted teen pregnancy, and the risks of contracting HIV/AIDS. Upscale charity events will feature guest celebrities such as the legendary Earvin "Magic" Johnson, NBA star Derek Fisher, and producer/rapper Dr. Dre, as well as Hip-hop moguls Russell Simmons and Sean "P. Diddy" Combs.

Keeping Music Alive

Our firm's concern for promoting the arts to youth has given us the opportunity to collaborate with Bay Area Youth Music Society. The Northern California organization lives out a mission of strengthening the music culture and spreading joy to others. Through Bay Area Youth Music Society, individuals between the ages of seven and 21 will have the opportunity to participate in a choir group and play orchestral instruments The talented individuals will make a difference in their community by performing Classical songs at nursing and retirement homes, Memorial Day fairs, and Chinese New Year events!

Read, Read, Read!

We are always enthusiastic to work with those who advance education and promote literacy. Libraries Without Borders is a nonprofit organization with a passion for reading and educating minds around the world. The group will collect donations of periodicals and books in Western-European languages and distribute them to children's schools, universities and libraries in third world countries. Our firm is excited to see the outcome of Libraries Without Borders' activities!

Developing Health in Developing Countries

We are constantly reminded of how fragile our bodies are, especially when confronted with an illness. Unfortunately, many of us do not take these vulnerabilities seriously simply because we have the money and resources to combat such illness, sometimes with ease. But what do you do if there were no remedy easily and readily available to you? What would you do if you lived in a developing country with limited medical services, equipment, and expertise? The Alltruix Foundation is an organization that is the solution to this frightening problem. The Foundation aims to advance science by educating the public on subjects useful and beneficial to the community through the development of medicines for the treatment of neglected diseases in developing countries.

Getting Closer to Freedom

The Helg Foundation hopes to instruct and train individuals about addiction, treatment and general health issues, for the purpose of improving their capabilities, and provide relief to the distressed suffering from drug abuse and dependency by conducting a low cost drug rehabilitation/counseling clinic for the underprivileged in Southern California. The counseling includes rehabilitation, detoxification, management strategies and other community outreach services on an outpatient basis. The Foundation will also be working closely with other local and regional private and public clinics, agencies and centers that focus on the same issues within out society.

Designing Solutions

Our Firm is proud to represent a new nonprofit organization in acquiring tax-exempt status. Project H Design is a charitable organization that supports, inspires, and delivers life-improving humanitarian product design solutions to underprivileged individuals and communities globally. The organization hopes to utilize industrial design as a tool to address social issues, improve global living conditions and to empower individuals and communities. Project H Design is currently involved with bringing students, designers, and other individuals together in their studio sessions to design projects that address social issues such as education, water and food supply, and health. One example of a successful design project is the "Hippo Roller", which provides a simple solution to the difficulties of transporting water in poor countries. Great design products, such as the Hippo Roller, are eligible for Project H Design's "Fund This Product" program, which takes applications for aid from across the globe, working with communities to assess their needs, raising funds to purchase the needed products, and delivering them to the group who needs them. In addition to these programs, Project H Design also maintains an online index providing an accessible catalog of superb examples of world-changing product design. ToyRiders

Finally, a motorcycle gang that shows off more than just their fast sport bikes and stunts. Over the past 7 years, the founders of TOYRIDE, a nonprofit organization and a client of ours, added a twist to the sport bike scene by raising money and collecting toys through their rides and events to distribute them as Christmas presents and funds for scholarships to foster children across Orange and Los Angeles County. One of the organization's main goals is to provide foster children at least one gift that they had listed on their wish list. The organization has made it a daunting task this year for their team to make sure that each child receives at least two items they wished for Christmas. This year, TOYRIDE has teamed up with toy retailers Target, Wal-Mart and Toy-R-Us to help reach the organization's goals by receiving donations and discount from these retailers. From Clay Courts to Sandy Beaches

Former tennis professional, Gretchen Anne Magers, has engaged our company to start a new nonprofit organization focusing on the trendy new sports of beach tennis. Beach tennis merges the worlds of tennis and beach volleyball into one exciting sport. It can be played both competitively and recreationally. It is easy to play, so it appeals to recreational players as well as athletes of all ages. The organization will conduct Beach Tennis Smash Events twice per year. These special events will provide entertainment, recreation and education about the benefits of playing beach tennis and will promote the health benefits of regularly exercising. Players will develop cardiovascular fitness and leg strength from moving in the sand. The organization will also provide free community "try-it" events three to five times per year to introduce the public to the healthy lifestyle associated with beach tennis. These events are open to the public and provide a successful first time experience for all. In the future, the organization plans to conduct Beach Tennis Youth Outreach Days to provide inner city children with a day at the beach where they are able to learn valuable life and sport skills from professional athletes like Gretchen Anne Magers. Building a Strong Community

Inspired by the students he teaches, high school teacher Valentino Ellis has engaged our firm with the aid of his colleagues to form a new nonprofit organization that will educate the youth for the purpose of improving or developing their capabilities and educate the public on subjects useful to individuals and beneficial to the community by encouraging students and teachers to actively participate in community development and service-learning. Working with students from kindergarten to college, the organization believes that in order for students to understand and learn about assisting the community, they must be introduced to the various forms of capital including human, social, physical, financial and environmental capital. Limited to the Brooklyn area of New York, the organization hopes to test students' critical thinking and research skills and teach them about the importance of education, especially in a community like Brooklyn. These students are taught to participate in action research, academic research, data collection and analysis (qualitative and quantitative), and videography. The organization will educate students about service-learning which is the preparation, collaboration, service, curriculum integration, reflection and celebration of each task being studied. In the past, the organization's students have utilized their critical thinking and research skills in studying issues with state and government funding in New York. Students are also encouraged to participate in analyzing the academic progress of their community. This includes looking at the ways in which church, after school programs, family and community-based organizations interact and compliment one another. Students are able to analyze the effects that these entities have on them in terms of their academic achievements. If the students find that a community is actively involved then that community will in turn, be more likely to succeed.

Education in Tanzania

When the founders of Harichand Education Fund, a client of our Firm, traveled to Tanzania, they came to realize that the children of Tanzania desperately needed better educational facilities. Schools in Tanzania lack the most basic learning tools and resources in a country where poverty and HIV run rampant; single desks are shared by five students and many of the children even share chairs and notebooks. The generous folks at Harichand Education Fund plans to change that by traveling to Tanzania twice each year to conduct extra-curricular education after school hours. Held at church rooms or other public facilities, the organization will teach basic life skills to approximately 300 children of all ages, such as washing their washing their hands with soap and learning the Heimlich maneuver. In addition to these life skills, the organization will provide several computers so students can learn how to type and how to use the internet for research or other educational purposes. The organization will also provide vocational lessons to young adults between the ages of 17 and 25, teaching these students communication and mechanical skills, hospitality and etiquette and other helpful tools for achieving success in life. Any remaining funds will be used to buy students chairs, desks, books, and other educational tools that they desperately need.

Texas Tea

A new client of the firm, who is a major player in the Multilevel Marketing world, has engaged the Firm to handle the formation and structure of a LLC and a LP in the state of Texas. They are starting a very interesting venture in the oil business. More than likely, we will be handling a multimillion dollar equity raise of capital for this investment opportunity.

Got a Light?

An up and coming film production and clothing design firm, Burn One Productions, LLC has engaged the Firm for a number of various legal matters. We have successfully completed a trademark search and registration/application with the United States Patent and Trademark Office for their mark relating to their clothing line. We will be providing a number of related services for this organization including the conversion of their corporate format and reclassification of their federal and state tax and corporate status. We are excited to be involved with this enthusiastic and focused new company.

Bridging the Generation Gap

Dr. Gerald Newmark founded The Children's Project, with the aid of our firm, to educate parents and teachers about their children's emotional health. Their workshops are geared toward the millions of at-risk children who go through their school years anxious, confused, angry, isolated, sad and depressed. Substantial numbers of these children become school failures and dropouts and eventually turn to sex, crime, drugs, gangs and violence as outlets for their unhappiness. A much larger group are the millions of kids, academically successful and apparently trouble-free, who have similar fears, concerns and problems that are rarely expressed and which go unnoticed by parents and teachers. These children carry their emotional insecurities, hang-ups and scars into adulthood causing them to become insecure, unhappy, troubled adults who make up the statistics of divorce, drug abuse, suicide, crime, depression and other emotional problems. These inadequacies are frequently passed on from parent to child, one generation to the next. Through their speaking engagements, The Children's Project will provide parents with various ways in which they can assist in preventing these issues from burdening their children.
